1. Grant of Rights

Promoter grants DFC the non-exclusive right to transmit, stream, and sell the Event live and as a 30-day VOD highlights package in the Territory on Platforms listed below.

2. Commercial Terms

• Revenue split: Promoter 60% / DFC 40% of PPV gross receipts after payment processing and platform fees.
• Alternate link-only split: Promoter 85% / DFC 15% (if promoter supplies clean stream and no production support is required).
• Payment flow: Promoter to onboard Stripe Connect Express; DFC will create PaymentIntents and route promoter share using transfer_data.destination. DFC will not hold promoter funds except for a short reserve for chargebacks (7–14 days).
• Settlement: Daily reporting; final settlement within 30 days of event.

3. Technical and Delivery

• Promoter supplies clean feed (SDI/RTMP/HLS) to DFC ingest endpoint by (minimum 72 hours before event).
• Backup feed required.
• Technical test 72 hours before event.
• Final run-through 24 hours before event.
• DFC will apply multi-DRM (Widevine/FairPlay/PlayReady) and server-side forensic watermarking.

4. Warranties and Indemnity

• Promoter warrants it owns or controls the broadcast and distribution rights for the Event and has obtained all necessary fighter releases, music clearances, and sponsor permissions.
• Promoter indemnifies DFC against third-party claims arising from breach of these warranties.
• DFC liability limited to fees paid for the event or AUD 50,000, whichever is greater, except for willful misconduct.

5. Termination

• Material breach not cured within 14 days of written notice allows the non-breaching party to terminate.
• On termination DFC will cease distribution within 14 business days.
• Final settlement calculated pro rata; outstanding payments still owed.
• Surviving clauses: indemnity, confidentiality, dispute resolution.

6. Confidentiality

Neither party will disclose commercial terms without prior written consent, except as required by law.

7. Dispute Resolution

• Good faith negotiation first (14 days).
• Mediation second (under ACICA rules).
• If unresolved, arbitration under Queensland law.
• Governing law: Queensland, Australia.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties. Amendments must be in writing and signed by both parties.
